Terms of Service

These Terms govern your use of the GroRest website at grorest.com and the GroRest ordering and delivery service, operated by GROREST LLC, a limited liability company registered in the State of Utah, United States ("GroRest", "we", "us").

By using the website or the service you agree to these Terms. If you do not agree, do not use them.

The GroRest service is currently in development and is not yet accepting orders. Sections describing orders, payment, and delivery apply from the point the service becomes available.

Who may use the service

You must be at least 18 years old and able to enter into a binding contract. You are responsible for the accuracy of the information in your account and for keeping your login credentials secure. Tell us promptly if you believe your account has been used without your permission.

What GroRest does

GroRest is a technology and delivery service. We let you order groceries and prepared food from participating stores and restaurants, and we arrange for those items to be collected and delivered to the address you provide.

Products are prepared and supplied by the store or restaurant you order from. We are responsible for the ordering platform and for the collection and delivery of your order.

Orders

  • Placing an order is an offer to purchase. An order is accepted when the store or restaurant confirms it.
  • Item availability can change between browsing and fulfilment. Where an item is unavailable we will tell you, and may offer a substitution or remove the item and adjust the total.
  • Prices, fees, and estimated delivery times shown at checkout may change, and are estimates unless stated otherwise.
  • We may refuse or cancel an order, including where an item is unavailable, where we cannot deliver to the address given, or where we suspect fraud or misuse.

Pricing and payment

Prices are shown at checkout and may include delivery and service fees plus applicable taxes. Payment is taken through our third-party payment processor; by placing an order you authorise that charge.

Where an order total changes because of substitutions, unavailable items, or weight-based pricing, the final amount charged may differ from the amount shown when the order was placed. We will make any such difference visible to you.

Delivery

We deliver to addresses within our published service areas. You are responsible for providing an accurate address and any access instructions, and for being available to receive the order. Where an order cannot be delivered because nobody is available or the address is inaccessible, we may charge for the order.

Delivery times are estimates and are affected by traffic, weather, and store preparation times.

Cancellations and refunds

  • You may cancel an order before the store or restaurant begins preparing it, at no charge.
  • Once preparation has begun, cancellation may not be possible and the order may be charged in full.
  • If an order arrives incorrect, incomplete, or in unacceptable condition, contact us within 48 hours of delivery. Where a problem is confirmed we will issue a refund or credit for the affected items.
  • Refunds are returned to the original payment method and may take several business days to appear.

Acceptable use

You agree not to:

  • Use the service for any unlawful purpose
  • Interfere with or attempt to disrupt the service, or access it by automated means without our written permission
  • Attempt to gain unauthorised access to any part of the service or to another user's account
  • Submit false information, or abuse promotions, credits, or the refund process
  • Harass or threaten delivery personnel, store staff, or our team

We may suspend or close accounts that breach these Terms.

Intellectual property

The GroRest name, logo, website, and applications, and all associated content, belong to GROREST LLC or its licensors. You may not copy, modify, or redistribute them without our written permission.

Third-party content

Product descriptions, images, prices, and menu information are supplied by participating stores and restaurants. We take reasonable care in presenting this information but do not guarantee that it is accurate or complete at all times.

Disclaimers

The service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error-free.

Limitation of liability

To the fullest extent permitted by law, GROREST LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or data, arising from your use of the service. Our total liability for any claim relating to an order is limited to the amount you paid for that order.

Nothing in these Terms limits liability that cannot be limited under applicable law.

Changes to the service and these Terms

We may change or discontinue parts of the service, and we may update these Terms. The "last updated" date above will change when we do. Continued use of the service after changes take effect means you accept the revised Terms.

Governing law

These Terms are governed by the laws of the State of Utah, United States, without regard to its conflict of law rules. Any dispute will be brought in the state or federal courts located in Utah.
